Case Studies

Business establishment and contract drafting

We performed a full business assessment that included analysis and suggestions related to operations, finance and risk environments. We assisted with formation and establishment of the company, drafting of funding and investment transactions, loan transactions and a full legal due diligence.
Addison Comline’s hands on drafting, organisational design and consulting expertise were highly regarded in winning this work.

Dynamic Equity Methodology Implementation

Dynamic equity is a methodology for determining how equity is allocated in a start-up business and importantly how it is recovered (realised) when someone leaves the business. The dynamic-equity model protects the business and the individual participants by creating a fair split. Small adjustments to equity splits allow the shareholders to measure effort invested without arguments about keeping things fair.

Management Buy-Out

Our structures provide an effective mechanism for management/ next generation owners to purchase shares in the company they work for. The benefits of the structures are directly dependent on the growth in earnings of the company concerned. It also caters for succession planning considerations where a founder shareholder wishes to align the interests of new prospective owners with the overall performance of the business.
